Terms and Conditions
If you would like use the Quality Comparison Tool, you must read and agree to the following terms and conditions.
Generally.
This is a license agreement (Agreement) that permits you (Authorized User) to access and use the information contained in the Quality Comparison Tool as described below. HealthPartners grants a non-exclusive, non-transferable, revocable right to access the Quality Comparison Tool according to the terms and conditions in this Agreement. The term Quality Comparison Tool includes the program features, functionality, documentation and quality comparison information contained within the Web application labeled Quality Comparison Tool, the Detailed Treatment Cost Information and the Find A provider feature.
Unauthorized Uses.
You may not make any copies or disseminate any part of the Quality Comparison Tool or attempt to reverse engineer features of the Quality Comparison Tool or ascertain data relating to any quality of care comparisons. You may print out a paper copy of the results of the Quality Comparison Tool for personal use according to the terms and conditions of this Agreement.
Ownership of the Quality Comparison Tool.
HealthPartners retains all patent rights, copyrights, trade secrets, trademarks, service marks, related goodwill and confidential and proprietary information regarding the Quality Comparison Tool.
Permissible Use of Results.
Comparison Data.
The comparison data contained in the Quality Comparison Tool are based on HealthPartners' proprietary database of quality of care information and other assumptions and inputs. The outputs are significantly influenced by the quality comparison criteria selected. HealthPartners makes no warranty, either expressed or implied, about the accuracy of results for any individual.
Use of Results.
You accept responsibility for using the results of the Quality Comparison Tool in an appropriate manner for your own personal purposes, and not in any commercial manner or in any way that would compete with HealthPartners or disparage the goodwill of HealthPartners.
DISCLAIMER OF WARRANTY.
QUALITY COMPARISON TOOL IS PROVIDED FOR USE AS IS WITHOUT ANY WARRANTY. WITHOUT LIMITING THE FOREGOING, HEALTHPARTNERS DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. HEALTHPARTNERS MAKES NO REPRESENTATIONS CONCERNING THE QUALITY OF THE QUALITY COMPARISON TOOL OR THE OUTCOMES RESULTING FROM ITS USE. HEALTHPARTNERS MAKES NO REPRESENTATIONS THAT IT WILL BE ERROR FREE, AVAILABLE OR WILL OPERATE WITHOUT INTERRUPTION.
LIMITATION OF LIABILITY.
IN NO EVENT WILL HEALTHPARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR OTHER DAMAGES ARISING OUT OF OR RELATING TO THE USE OF THE QUALITY COMPARISON TOOL, EVEN IF HEALTHPARTNERS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Non-assignment.
You may not assign this Agreement or any rights under it and any purported assignment will be void.
Governing Law.
This Agreement will be governed by the laws of the State of Minnesota without regard to its conflict of law provisions, and any disputes will be venued in Hennepin County, Minnesota.
